2. Platform Purpose

FounderUplift is a platform that connects startup founders with investors for the purpose of networking, pitching, and exploring investment opportunities. The Platform facilitates meetings, provides tools for scheduling, and may offer resources such as pitch deck reviews or investor introductions. FounderUplift does not act as a financial advisor, broker, or intermediary in any investment transactions.

3. User Accounts

3.1 Registration

To access certain features of the Platform, you must create an account by providing accurate and complete information, including your name, email address, and other required details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to notify FounderUplift immediately of any unauthorized access to or use of your account. FounderUplift reserves the right to disable any account at its sole discretion if it believes these Terms have been violated.

4. User Responsibilities

4.1 Conduct

You agree to use the Platform in a professional and lawful manner. You will not:

• Post false, misleading, or fraudulent information.
• Use the Platform to harass, defame, or harm others.
• Share confidential information without proper authorization.
• Engage in any activity that disrupts the Platform’s functionality.

You are solely responsible for the content you submit to the Platform, including pitch decks, profiles, and communications. All content must comply with applicable laws and respect intellectual property rights.

5. Investor and Founder Interactions

5.1 No Guarantees

FounderUplift facilitates connections but does not guarantee successful investment outcomes, meetings, or partnerships. All investment decisions and agreements are solely between the founder and investor.

5.2 Due Diligence

Users are responsible for conducting their own due diligence before entering into any agreements or sharing sensitive information. FounderUplift is not liable for any losses or damages arising from interactions facilitated through the Platform.

6. Fees and Payments

6.1 Subscription Fees

Certain features of the Platform may require a subscription or one-time fee. All fees will be clearly disclosed at the time of purchase. Payments are non-refundable except as required by law or as specified in our refund policy.

6.2 Billing

If applicable, you agree to provide accurate payment information and authorize FounderUplift to charge the fees to your provided payment method. Unpaid amounts may incur a finance charge of 1.0% per month or the maximum permitted by law, whichever is lower.

7. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of FounderUplift or its licensors and is protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose, subject to these Terms.

The Platform is provided "as is" without warranties of any kind, express or implied. FounderUplift does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any information provided is accurate or complete. You use the Platform at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, FounderUplift, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Delaware. You irrevocably consent to the jurisdiction of such courts.
